ReplyKo is operated by Technofizi Solutions, a registered partnership firm incorporated in India (GST: 08AALFT8672N1Z5), based in Jaipur, Rajasthan. References to “we”, “us”, or “our” in these Terms refer to Technofizi Solutions.
Acceptance of Terms
By accessing or using ReplyKo, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you must not use the service.
You may use ReplyKo only if you are legally able to enter into a binding agreement on behalf of yourself or your business.
Service Description
ReplyKo provides software for automating Instagram direct-message workflows, comment-triggered messages, story-reply flows, and related account operations using Meta’s official Instagram Graph API.
ReplyKo does not use unofficial bots, browser automation, or scraping tools. All features rely exclusively on Instagram and Meta’s published, approved API endpoints.
Some features depend on third-party platforms, including Meta and Instagram. Availability may change if those platforms change their APIs, policies, or technical requirements.
Eligibility and Account Requirements
To use Instagram-connected features, you must hold an Instagram Business or Creator account. Personal Instagram accounts are not supported.
You are responsible for maintaining accurate account information and for protecting access credentials for your ReplyKo workspace and any connected third-party accounts.
You are responsible for all activity that occurs under your account unless the activity results directly from our breach of security obligations.
Acceptable Use
You agree to use the service lawfully and in a way that does not harm our platform, other users, or third parties.
- Do not use ReplyKo for spam, harassment, fraud, deception, or unlawful marketing.
- Do not attempt to bypass Meta, Instagram, or ReplyKo platform limits, security controls, rate limits, or review processes.
- Do not configure automations to send unsolicited messages or to violate Instagram’s Community Guidelines.
- Do not upload or send content that infringes intellectual property, privacy, or publicity rights.
- Only use ReplyKo to automate messages and replies that you have the right to send under applicable laws and platform rules.
Meta Platform Terms and Instagram Compliance
You are responsible for ensuring that your use of ReplyKo complies with the Meta Platform Terms, Instagram Community Guidelines, Instagram’s Messaging Policy, and all applicable local laws.
ReplyKo accesses Instagram data on your behalf using the permissions you grant. You must not grant these permissions unless you are the authorized owner or administrator of the connected Instagram Business or Creator account.
We may restrict or suspend features if we reasonably believe your workflows create platform policy risk for ReplyKo, connected platforms, or other users.
You agree not to use the Instagram API access granted through ReplyKo for any purpose beyond what is described in these Terms and in our Privacy Policy.
Fees and Billing
ReplyKo may offer both free and paid plans. Current pricing, billing cadence, feature limits, and trial terms are described on the site or in-product before charges begin.
Unless a specific offer states otherwise, fees are due in advance, are non-cancelable for the active billing period, and are non-refundable except where required by law or stated in our Refund Policy.
Intellectual Property
ReplyKo and all related branding, software, design, text, and platform materials are owned by us or our licensors and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes while your account remains in good standing.
Termination
You may stop using the service at any time. You can disconnect your Instagram account and delete your ReplyKo workspace from within the application.
We may suspend or terminate access if you violate these Terms, create platform risk, fail to pay applicable fees, or use the service in a way that could cause legal or operational harm.
Upon termination, your right to access the service ends immediately, but provisions that by their nature should survive termination will remain in effect.
Privacy and Data Deletion
Our Privacy Policy explains how we collect, use, share, and protect personal information connected to ReplyKo accounts and website usage, including data received from Meta.
You can disconnect your Instagram account at any time from the Connected Accounts section inside ReplyKo. This immediately revokes the stored access token.
To request full deletion of your account data, visit our Data Deletion page or email privacy@replyko.com. You can also remove ReplyKo from your Facebook Business Integrations, which will automatically trigger our data deletion process.
Disclaimers and Limitation of Liability
The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, ReplyKo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability for any claim relating to the service will not exceed the amount you paid to us for the service during the 12 months before the claim arose.
Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or your use of the service will be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.
Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version on this page and update the last-updated date.
Your continued use of ReplyKo after the updated Terms become effective means you accept the revised Terms.
